Pouchers Terms Of Use
By accessing or using the Pouchers website, mobile application, or any related services, you agree to be bound by these Terms of Use and confirm that you are responsible for compliance with all applicable laws and regulations.
1. Introduction
Pouchers Technology Limited (“Pouchers”, “we”, “us” or “our”) operates a digital financial platform consisting of a website, mobile application, and supporting payment infrastructure (collectively, the “Platform”). The Platform provides users with access to: Multicurrency digital wallets; Virtual payment cards (including virtual dollar cards); Cross-border payment and settlement services; Stablecoin-powered funding and settlement options; Utility, digital goods, and lifestyle payment services (collectively, the “Services”).
Pouchers is built for users who earn, spend, and transact across borders. While we operate from Nigeria, certain Services are provided through licensed financial institutions, payment processors, and regulated partners in applicable jurisdictions.
The Poucher Services are made available to all users, whether as visitors, registered users, or account holders, and are provided subject to these Terms of Use and our Privacy Policy (the “Privacy Policy”), which is incorporated into these Terms by reference. By accessing or using the Poucher Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to any part of these Terms, if you do not agree, please discontinue the use of the Platform.
Where you access or use the Platform on behalf of a business or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms of Use. In such circumstances, references to “you” or “your” in these Terms shall be deemed to include both you as an individual and the relevant business or legal entity, unless the context requires otherwise.
2. Registration and Account
In accordance with Nigerian law, you must be at least eighteen (18) years of age, being the age of majority, to create an account on the Platform. By registering for an account or using the Poucher Services, you represent and warrant that you meet this age requirement and otherwise possess the legal capacity to enter into and comply with these Terms of Use.
Where you access or use the Platform from outside Nigeria, you represent and warrant that you are of the legal age of majority in your country of residence and otherwise have full legal capacity to enter into binding agreements under the laws applicable in that jurisdiction. You further represent that your access to and use of the Platform is not prohibited or restricted by the laws or regulations of your country of residence.
Poucher reserves the right to restrict, suspend, or terminate access to the Platform or any part of the Services where a user does not meet applicable age, residency, or legal capacity requirements under relevant laws.
To access the Services, you must create an account and provide accurate, complete, and up-to-date information, including an email address or other credentials as required. At a minimum, as part of your application to access or use the Services, you may be required to provide the following information and documents.
- Your full legal name, residential address, date of birth, and nationality;
- a valid email address;
- a valid mobile phone number and, where required, your mobile device identification information;
- proof of identity, being a clear copy of one of the following valid documents:
- (I) an international passport; or
- (II) National Identity Card or any other state-issued identification card;
- Sometimes and when occasion demands, proof of address, being a clear copy of one of the following documents:
- (I) a Nigerian driver’s licence;
- (II) a lease or tenancy agreement;
- (III) a recent bank statement;
- (IV) a recent government-issued tax statement; or
- (V) a recent utility bill.
In accordance with applicable laws and regulations, including anti-money laundering and counter-terrorist financing requirements, Poucher is required to conduct customer due diligence before permitting you to open or operate an Account. Such due diligence may include identifying and verifying your identity, collecting and monitoring information relating to you and your use of the Services, and assessing and reporting any suspected money laundering, terrorist financing, or other financial crime risks associated with you or your activities on the Platform.
You agree to provide all information and documentation reasonably requested by Poucher for the purpose of complying with the due diligence obligations described in clause 3.2, or to enable Poucher to comply with any obligation imposed by applicable law, regulation, or these Terms of Use. You further acknowledge that Poucher may refuse to open, suspend, or restrict your Account where such information or documentation is not provided, is incomplete, or is unsatisfactory.
Your account is personal to you and may not be sold, transferred, or assigned to any third party. You are responsible for taking all reasonable precautions to keep your Account, and all security credentials associated with them safe and secure, and to prevent any fraudulent or unauthorized use. You must use reasonable efforts to prevent unauthorized access to or use of your Account or wallet.
Your Account login credentials must be kept strictly confidential and must not be disclosed to any third party or recorded in written or unsecured form. You must avoid using obvious or easily guessable passwords, including personal information or common phrases.
Without limitation, you agree to:
- ensure that no person can see or overhear your login credentials when accessing the Platform;
- never disclose your full login details or password to anyone, including law enforcement officers or Poucher personnel;
- never write down, store, or otherwise record your password or security credentials;
- comply with all reasonable security instructions issued by Poucher from time to time;
- immediately change your login credentials and notify Poucher if you know or reasonably suspect that your credentials have been compromised, or where Poucher requests you to do so;
- ensure that any device used to access the Platform is secure and protected with up-to-date antivirus, anti-malware, and firewall software;
- avoid accessing the Platform from shared, public, or unsecured devices, networks, or internet access points;
- always log out of the Platform after use and never leave your device unattended while logged in; and
- never share Account details, security credentials, or payment information on social media or any third-party website.
Where your Account login credentials are lost, stolen, compromised, or where you suspect that your verified mobile number or email address has been compromised, you must notify Poucher without undue delay by contacting [email protected].
We reserve the right to restrict, suspend, or terminate your account, or limit your access to any part of the Services, at our discretion, where such action is required by applicable law or regulation; where we reasonably suspect fraud, misuse, or a breach of these Terms; or where necessary to protect the integrity, security, or proper functioning of the Platform or the interests of our users. Where termination occurs without user fault, any unused balances will be refunded or handled in accordance with applicable law and partner obligations.
You may request closure of your account by contacting us using the details in Section 15, subject to completion of any pending transactions, regulatory checks, or outstanding obligations.
3. Use of the Platform
References to “Platform” or “website” include both the Pouchers website and mobile applications.
Pouchers may publish educational materials in video, audio, or written form for informational purposes. You may access and use such materials solely for personal reference, self-education, or other lawful and permissible purposes. You may also use the Platform to access, view, stream, or download such materials where expressly enabled, provided that you do not reproduce, distribute, modify, commercialise, or otherwise exploit the materials without our prior written consent, except as permitted under applicable law.
Do Reverse-engineer or interfere with Platform systems; neither shall you use automated tools to extract data without permission. It is also prohibited to use our platform for unlawful, fraudulent, or deceptive activities; to process proceeds of crime or use or platform in a manner that disrupts or compromises system security or availability.
We reserve the right, at our discretion, to suspend, limit, or restrict access to the Platform, any part of the Platform, or specific features or functionalities, whether temporarily or permanently. This may occur, for example, during system maintenance, upgrades, security incidents, or operational updates.
You must not attempt to circumvent, bypass, interfere with, or otherwise defeat any access controls, security measures, or restrictions implemented on the Platform.
4. Virtual Cards, Wallets, and Payments
Pouchers provides virtual cards and wallet services that enable users to make local and international payments, subject to applicable limits and partner rules.
Virtual cards are not physical cards and they may be subject to transaction, merchant, or geographic restrictions. Similarly, we may suspend, restrict or terminate where misuse, fraud, or regulatory concerns arise.
Wallet balances may be funded using supported fiat currencies or stablecoins (such as USDT or USDC) across approved blockchain networks.
By using this product, you acknowledge that exchange rates may fluctuate, settlement times may vary. However, please note that blockchain transactions are irreversible once confirmed.
5. Fees and Taxes
Fees applicable to the Services will be disclosed on the Platform or prior to transaction execution.
You are responsible for all applicable taxes, duties, or levies arising from your use of the Services (if any).
6. Copyright and Trademarks
Subject to the express provisions of these Terms of Use, all intellectual property rights in and to the Platform, including the website and all content, materials, software, text, graphics, logos, and other works made available through the Platform, are owned or licensed by Poucher and are fully reserved.
All Poucher names, logos, trademarks, and service marks, whether registered or unregistered, are the exclusive property of Poucher. No right, licence, or permission is granted to use any such trademarks without Poucher’s prior written consent, and any unauthorized use may constitute an infringement of Poucher’s intellectual property rights.
All third-party trademarks, service marks, trade names, and logos appearing on the Platform are the property of their respective owners. Poucher does not endorse, sponsor, or affiliate with any third party whose trademarks appear on the Platform and grants no licence or right to use such third-party intellectual property.
7. Breach and Enforcement
Where Poucher permits you to register an Account on the Platform, such Account shall remain active unless and until suspended or terminated in accordance with these Terms of Use.
If you breach these Terms of Use, or where Poucher reasonably suspects that you have breached these Terms, or any applicable Poucher codes, policies, or guidelines, Poucher reserves the right, at its discretion and without prejudice to any other rights or remedies, to take one or more of the following actions:
- temporarily suspend your access to the Platform;
- permanently restrict or prohibit your access to the Platform;
- block access to the Platform from devices or IP addresses associated with you;
- request that internet service providers restrict or block your access to the Platform;
- suspend, restrict, or terminate your Account; and/or
- initiate legal proceedings against you, whether for breach of contract or otherwise, as permitted by law.
Where your access to the Platform or any part of the Services is suspended, restricted, or terminated, you must not attempt to circumvent such measures, including by creating or using alternative accounts, accessing the Platform through third parties, or employing any technical or other means to bypass restrictions imposed by Poucher.
8. Indemnity
You agree to indemnify and hold harmless Pouchers, its officers, partners, and service providers from any losses, liabilities, or expenses arising from your breach of these Terms;misuse of the Platform; or violation of applicable laws or third-party rights.
9. Disclaimer and Limitation of Liability
Except as otherwise expressly provided in this Agreement, and to the extent permissible under Applicable Law, our (including our officers, employees or agents) cumulative liability to you for any claims or damages arising out of or related to your use of the Services shall not exceed the Fees you paid to us for the Services provided under this Agreement.
10. Entire Agreement
These general terms and conditions and the Pouchers codes, policies and guidelines shall constitute the entire agreement between you and us in relation to your use of our platform and shall supersede all previous agreements between you and us in relation to your use of our platform.
11. Variation
We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of revised Terms.
12. Severability
If a provision of these general terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.
If any unlawful and/or unenforceable provision of these general terms and conditions would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.
13. Assignment
You hereby agree that we may assign, transfer, sub-contract or otherwise deal with our rights and/or obligations under these general terms and conditions.
You may not assign, transfer, sub-contract without our prior written consent, assign, transfer, sub-contract or otherwise deal with any of your rights and/or obligations under these general terms and conditions.
14. Third-Party Services
By using certain Poucher Services, you expressly acknowledge, consent to, and authorize Poucher to share your information with third-party service providers as reasonably necessary to provide the Services. In any case, your use of any third-party services is subject to the applicable terms of service and privacy policies of those third-party providers, and Poucher does not control, endorse, or assume responsibility for such third-party services.
Pursuant to these Terms of Use, you further authorize and direct Poucher to create, maintain, and administer accounts with such third-party service providers on your behalf, to consent to and agree to applicable terms and policies where required, and to execute transactional, payment, including transfers, purchases, or sales that you may provide to Poucher from time to time in connection with such third-party accounts.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Nigeria. Nigerian courts shall have exclusive jurisdiction, unless otherwise required by applicable law.
16. Term and termination
Once this Agreement is effective, there is no minimum contract period. This Agreement shall continue until it is terminated. Termination shall be effected in accordance with this clause.
17. Change of Terms
We reserve the right to modify or replace these Terms at any time, at our sole discretion. We will notify users of any changes by updating the date at the top of these Terms and by maintaining a current version of the Terms on our website.

You consent to receive notices electronically from us. We may provide all communications and information related to your use of the platform in electronic format, either by posting to our website or application, or by email to the email address on your account. All such communications will be deemed to be notices in writing and received by and properly given to you.
